ACCOUNT AND AUDIT
10. a. The APS shall cause to be maintained such books of accountsand other books in relation to its accounts in such form and in such manner as may, in consultation with the Auditors of the APS be prescribed.
b. The financial year of the APS shall be from the first April each year to the 31st March of the next year.
c. The APS shall, as soon as may be, after closing its annual accounts, prepare a statement of accounts in such form as the Governing body may, in consultation with the Auditors of the APS, determine.
d. The accounts of the APS shall be audited by such Auditors as the Governing body may appoint.
e. The annual accounts of the APS together with the audit report thereon shall be laid before the General Body, as far as practicable, at its General Body meetings. If the statement of the audited accounts be not ready by the date of the General Body meeting, it shall be placed before the General Body meeting, it shall be placed before the General Body at a subsequent meeting called for the purpose.
11 The income and property of the APS however derived shall be applied towards the promotion of the objects as set forth in this Memorandum of Association, subject nevertheless in respect of the expenditure of grants of donations made with any specific conditions as may be the income and property of the APS shall be paid of transferred, directly or indirectly by way of dividends, bonus or otherwise whatsoever, by way of profits to any persons who at any time are or have been members of the APS or to any of them provided that nothing herein contained shall prevent the payment in good faith of remuneration to any member or other persons in return for any service rendered to the APS.
12 The management of the society : For the management of all matters connected with the Society there shall be a Governing Body which shall be constituted as per the following provisions.
a. The Governing Body of the APS except in the case of first Governing Body shall consist of upto eleven members and shall be constituted of :
1 The president.
2 The Vice President (V.P.)
3 The Secretary.
4 The Treasurer.
5 The joint Secretary.
6 Member.
7 Other Five Members.
b. The First Governing Body of the APS shall consist of eight persons, whose names are set out in the Memorandum of Association of the APS
c. The members shall ordinarily hold office for a period of Five years.
d. A member of the Governing Body, other than President of APS may resign from the Membership of the Governing Body by giving to the President a notice in writing of his intention to do so. The president to tender his resignation would convene a meeting of the Governing Body and request other office bearer to chair and then alone could tender his resignation. New President should be elected in this meeting. This is of course under special or extra ordinary circumstances.
Within 21 days from the receipt of the notice of resignation from a member, the President shall accept the resignation after ensuring that pending matters, if any, concerning his membership of the Governing Body are properly discharged.
e Any casual vacancy in the Governing Body for any reason whatsoever shall be filled in by the remaining members of the Governing Body by majority and the terms of such filled in vacancy shall be for the unexpired term of such casual vacancy.
